Under the "tax-free territory" principle, only income obtained within Panamanian territory is subject to income tax. Income generated outside of Panama is completely tax-exempt.

Company Name

Three (3) name options are required to verify availability before the Public Registry of Panama.

Board of Directors

Minimum three (3) directors: President, Secretary and Treasurer. They do not need to be shareholders. The firm can provide directors for US$150.00/year each.

Share Capital

Standard capital of US$10,000.00 (maximum amount for lowest government fees). Shares may be registered or bearer shares.

Corporate structure

Resident Agent

The law requires every Panamanian corporation to have a Resident Agent, which must be an attorney or law firm licensed in Panama. Young Law Firm acts as Resident Agent for its corporations.

Annual cost: US$500.00
Includes custody of corporate documents, legal representation and compliance with governmental obligations.

Government Annual Fee

All corporations must pay a government annual fee of US$300.00. Timely compliance avoids surcharges and penalties.

  1. Corporations formed between January and June: payment before June 30
  2. Corporations formed between July and December: payment before December 31
  3. Late fee: US$50.00. Subsequent omission: fine of US$300.00
